Terms of service
Our terms, written to be read. Your countersigned merchant agreement prevails where the two differ.

1. The service
NeuralPay provides technical infrastructure that (a) publishes your product catalogue to AI agent registries, (b) verifies the identity of AI agents attempting to purchase from your store, and (c) enables verified agents to complete orders through your existing checkout and payment service provider. NeuralPay is not a payment service, does not enter the flow of funds, and is not a party to the sale between you and your customer.
2. A young, evolving service
NeuralPay is a new product: features may change, and availability targets are best-effort as the platform matures. We commit to honest communication about both, and will notify merchants of material changes to the service.
3. Fees
Our fee is 1% of the value of each order completed through an AI agent via NeuralPay (excluding VAT, shipping collected on behalf of carriers, and orders you refund). No setup or recurring fees. We invoice monthly in arrears with order-level detail; payment terms are 14 days. Refunded agent orders are credited on the next invoice.
4. Your obligations
- Provide accurate catalogue data (price, stock, shipping) and honour orders accepted by your store through the service.
- Use the service only for lawful products and in compliance with your platform's and PSP's terms.
- Keep your API keys and account credentials confidential.
5. Acceptable use
No attempts to circumvent agent verification, probe other merchants' data, or use the service to send unsolicited communications. We may suspend accounts that endanger the integrity of the network, and will tell you why.
6. Liability
To the extent permitted by law, our aggregate liability under these terms is capped at the fees you paid us in the twelve months preceding the claim. We are not liable for the acts of agent operators, payment service providers, or commerce platforms, nor for lost profits or indirect damages. Nothing here limits liability for intent, gross negligence, or where the law forbids limitation.
7. Term & termination
Either party may terminate at any time with effect from the end of the current invoicing month. On termination we deregister your catalogue from agent registries and delete service data per the data processing terms.
8. Governing law
Specified in your merchant agreement. These public terms are provided in English for transparency; the countersigned agreement is the authoritative document.
